The Project will be implemented through the conclusion of a mixed supply & service contract (operation and maintenance) within the meaning of Articles 2 and 4 of Law N.4412/2016, as amended and in force. The Contract includes the following two sections: SECTION 1: SUPPLY AND INSTALLATION of materials - equipment & installations and/or systems. The interventions to be carried out under this contract are as follows: 1. Building Envelope Upgrade The upgrade of the building envelope consists of the following parts: Replacement of frames Replacement of the existing aluminum and polycarbonate frames with thermally insulated sliding and/or opening – tilt-and-turn frames, which will meet the requirements of the new KENAK for buildings undergoing major renovation. Replacement of the frames of the clerestory running along the length of the large swimming pool with safety frames corresponding to the above. Installation of perimeter thermal insulation and thermal insulation on the roof of the changing-room building. Perimeter thermal insulation will be installed around the changing-room building, as well as a thermal insulation – waterproofing system on its roof, which will meet the requirements of the new KENAK. 2. Replacement of lighting fixtures / lamps with equivalent LED technology Replacement of all lighting in the two pools and auxiliary areas (e.g. changing rooms, WCs, offices and storage rooms), with the creation of new panels and lighting circuits for the new LED technology lighting fixtures. 3. Installation of Heat Pumps and Unit Heaters Installation of heat pumps, which will supply the new unit heaters in the swimming-pool areas and panel-type radiators in the swimming pool’s auxiliary areas. 4. Replacement of Ventilation Fans The swimming-pool areas have axial fans on the exterior side of the areas for their ventilation, which are obsolete and will be replaced with new axial fans of better energy efficiency. 5. Installation of a Building Energy Management System (BEMS) Installation of a Building Energy Management System (BEMS), aimed at optimizing the energy management of energy-production stations, as well as collecting energy data. 6. Installation of a Cogeneration System, namely a High-Efficiency Heat and Power Cogeneration Unit (ΣΗΘΥΑ), fueled by natural gas, in the surrounding area of the swimming pool. 7. Reactive power compensation Installation of a central compensation system with capacitors to regulate the power factor, which will be installed in the main low-voltage panel of the kiosk-type substation. SECTION 2: OPERATION & MAINTENANCE Following the mandatory maintenance period for the cogeneration system, which coincides with the operational warranty period offered by the contractor during the tender procedure under this contract notice, and the issuance of the acceptance protocol for guaranteed operation, the contractor is obliged to undertake the operation & maintenance, namely the full technical coverage of the cogeneration system, as defined in subsection 3.1.1. of paragraph 3.1 of Annex II to this contract notice, until five (5) years have elapsed from the final acceptance of Section 1 of the contract, in return for a separate annual fee, which it must have specified in its initial financial offer for each of the five years, on the financial offer form, a template of which is attached as Annex IV to this contract notice. There is an option to award the contractor the operation and maintenance of the cogeneration system for an additional five (5) years, activated as follows: For an additional three (3) years following completion of the five (5) years of operation and maintenance under the initial contract, and for another two (2) years following completion of the three (3) years granted during the first phase of exercising the option. The right is exercised during the final quarter of the five-year term or, successively, the three-year term of the operation and maintenance contract (full technical coverage). The operation and maintenance terms are those provided for in the initial contract. The interventions to be carried out under this contract are as follows: 1. Reactive power compensation Installation of a central compensation system with capacitors to regulate the power factor, which will be installed in the main low-voltage panel of the kiosk-type substation. The project is financed within the framework of ESPA with the sole purpose of achieving the energy upgrade of the Indoor Swimming Pool of the Municipality of Komotini. In accordance with the Decision Approving the Project for Funding, as well as the terms and obligations arising therefrom, the entity is committed to achieving a specific energy target, which can be achieved only through the combined implementation of all the proposed interventions, which are interdependent and jointly lead to that target. As stated above, achievement of the energy target results from the combined and interdependent implementation of all the interventions, and therefore one Contractor must assume overall responsibility for performance. The unified implementation of the Project’s interventions is crucial in helping to avoid problems during their parallel and simultaneous design, as well as to ensure a streamlined work schedule with appropriate chronological sequences, without it being affected by external circumstances due to differing approaches by different contractors relating to the sequence of interventions, different methods of addressing and resolving problems and prerequisite actions, conflicting interests, etc. It also serves to ensure implementation of all interventions within the binding timetable established by the Decision Approving the Project for Funding and by the EU Regulation for ESPA 2021-2027, leading to the functionality of the overall intervention and avoiding the delayed or non-implementation of one of them due to objections, appeals or disputes. The duration of the contract for Section 1 is set at eighteen (18) months from the date the contract is signed. The operation and maintenance of the cogeneration system (Full Technical Coverage) is defined and described in Chapter 3.2 of ANNEX II “Special Conditions of Contract” of this Contract Notice. The estimated value of the contract for the operation and maintenance of the cogeneration system (Full Technical Coverage) amounts to a total of €682,000.00 including VAT 24%. The above amount is allocated as follows: • Five years of operation & maintenance, namely full technical coverage of the cogeneration system, in the amount of €341,000.00 including VAT 24%. This contract begins after the mandatory maintenance period for the cogeneration system, which coincides with the operational warranty period offered by the contractor during the tender procedure under this contract notice, and the issuance of the acceptance protocol for guaranteed operation. The contractor is obliged to undertake the operation & maintenance, namely the full technical coverage of the cogeneration system, as defined in subsection 3.1.1. of paragraph 3.1 of Annex II to this contract notice, until five (5) years have elapsed from the final acceptance of Section 1 of the contract. • Option for an additional five (5) years of operation & maintenance, namely full technical coverage of the cogeneration system, in the amount of €341,000.00 including VAT 24%. The five (5) years may also be activated in stages: initially three (3) years for a total amount of €204,600.00 including VAT 24%, and subsequently two (2) years for a total amount of €136,400.00 including VAT 24%. The contractor assumes and guarantees responsibility for the proper operation of the Cogeneration System not only for the years for which it offers a proper-operation warranty, but also for five (5) years beyond them. In this way, it is ensured, to the extent possible, that it will select equipment of optimal quality, carry out the installation in the best possible manner and supervise its operation, having both increased financial incentives and, at the same time, overall long-term responsibility. - The conclusion of two different contracts through a parallel tender procedure cannot work. The tenderer for full technical coverage cannot calculate and offer a price without knowing the manufacturer and type of equipment that will ultimately be installed. If the tender procedure is carried out sequentially, the selection of the supply and installation contractor also unequivocally identifies the equipment manufacturer, depriving it of the incentive to offer the best price in the public interest for the maintenance and operation of the cogeneration system. By contrast, the conclusion of a single contract through a procedure in which the selection of the contractor also takes into account the price offered for full technical coverage gives the tenderer an incentive to offer the best price in the public interest. - Furthermore, the conclusion of two different contracts creates problems in assuming responsibility for proper operation, since by law the supply contractor will be required to monitor the unit’s operation and maintain it for the proper-operation warranty period offered during the tender procedure, while the maintenance and operation contractor would undertake full technical coverage after a period during which it had no authority or responsibility for the operation and maintenance of the cogeneration system, and for the following five years. Upon completion of the supply and installation of the cogeneration system, the competent committee issues a final acceptance protocol for that system. Upon issuance of the final acceptance protocol for the system in question, the mandatory maintenance period for the cogeneration system begins, which coincides with the operational warranty period offered by the contractor during the tender procedure under this contract notice. Following completion of the supply and installation under Section 1, final acceptance takes place. The duration of Section 2 of the contract (operation and maintenance of the cogeneration system, hereinafter full technical coverage) is five (5) years and begins after expiry of the operational warranty period for the cogeneration system offered by the contractor. With respect to Section 2, there is an option to award the contractor the operation and maintenance of the cogeneration system for an additional five (5) years, activated as follows: For an additional three (3) years following completion of the five (5) years of operation and maintenance under the initial contract, and for another two (2) years following completion of the three (3) years granted during the first phase of exercising the option. The option is exercised during the final quarter of the five-year term or, successively, the three-year term of the operation and maintenance contract (full technical coverage). The operation and maintenance terms are those provided for in the initial contract. It is noted that the option constitutes a unilateral formative right of the Project Owner (Municipality of Komotini), is exercised by its unilateral declaration and is not subject to negotiation with the contractor under the initial contract.
