Opportunity description

1. Part 1 1.1. The subject matter of the contract is the provision of a comprehensive supply of electricity and the provision of electricity distribution services for facilities other than street lighting and the illumination of facilities during the period from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract), comprising the sale of electricity and the provision of electricity distribution services, in accordance with the provisions of the Act of 10 April 1997, Energy Law (hereinafter: PE), to the energy consumption points listed in Appendix No. 1 to the model contract (in accordance with the authorisations held). The detailed terms of the contract are set out in the model contract – Appendix No. 11 to the SWZ. A detailed description of the subject matter of the contract, containing the locations and a description of the electricity delivery points together with the contracted capacity and estimated consumption, is contained in Appendix No. 1 to the SWZ. 2. Part 2 – Specialist Municipal Hospital in Toruń 2.1. The subject matter of the contract is the provision of a comprehensive supply of electricity and the provision of electricity distribution services for facilities other than street lighting and the illumination of facilities during the period from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract), comprising the sale of electricity and the provision of electricity distribution services, in accordance with the provisions of the Act of 10 April 1997, Energy Law (hereinafter: PE), to the energy consumption points listed in Appendix No. 1 to the model contract (in accordance with the authorisations held). The detailed terms of the contract are set out in the model contract – Appendix No. 12 to the SWZ. A detailed description of the subject matter of the contract, containing the locations and a description of the electricity delivery points together with the contracted capacity and estimated consumption, is contained in Appendix No. 2 to the SWZ. 3. Part 3 – Miejskie Przedsiębiorstwo Oczyszczania sp. z o.o. 3.1. The subject matter of the contract is the purchase of electricity for Miejskie Przedsiębiorstwo Oczyszczania sp. z o.o. in Toruń during the period from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract), in accordance with the provisions of the Act of 10 April 1997, Energy Law (hereinafter: PE), for the energy consumption points listed in Appendix No. 1 to the model contract. The contracts in question will not include electricity distribution services. The detailed terms of the contract are set out in the model contract – Appendix No. 13 to the SWZ. A detailed description of the subject matter of the contract, containing the locations and a description of the electricity delivery points together with the contracted capacity and estimated consumption, is contained in Appendix No. 3 to the SWZ. 4. Part 4 4.1. The subject matter of the contract is the supply and purchase of electricity for the needs of street lighting and the illumination of facilities from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract), in accordance with the provisions of the Act of 10 April 1997, Energy Law (hereinafter: PE), for the energy consumption points listed in Appendix No. 1 to the model contract (in accordance with the authorisations held). These contracts will not include electricity distribution services. The detailed terms of the contract are set out in the model contract – Appendix No. 14 to the SWZ. Part 1 – Building facilities 1.1.1. The subject matter of the contract is the provision of a comprehensive supply of electricity and the provision of electricity distribution services to the building facilities included in Appendix No. 1 to the model contract during the period from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract). The detailed terms of the contract are set out in the model contract – Appendix No. 14 to the SWZ. 1.1. 2. The subject matter of the contract in Part 1 is the provision of a comprehensive supply of electricity, comprising the sale of electricity and the provision of electricity distribution services to the Contracting Authority – its energy consumption points listed in Appendix No. 1 to the model Contract. The quality parameters of electricity are defined by the Regulation of the Minister of Climate and Environment of 22 March 2023 on detailed conditions for the operation of the power system (Journal of Laws of 2025, item 919). A detailed description of the subject matter of the contract, containing the locations and a description of the electricity delivery points together with the contracted capacity and estimated consumption, is contained in Appendix No. 1 to the SWZ. 1.1.3. The Contracting Authority states that: a) the individual unit rates for the electricity distribution service during the term of the Contract will comply with the tariff or tariffs approved by the President of the Energy Regulatory Office for the undertaking acting as the DSO (ENERGA Operator SA); b) the rates for the distribution component contained in Appendix No. 5 to the SWZ comply, as at the tender submission date, with the distribution tariff of the local Distribution System Operator approved by the President of the Energy Regulatory Office. c) in order to simplify submission of a tender for the distribution component, one distribution fee rate resulting from the average price paid by the Contracting Authority in 2025 was adopted in Appendix No. 5 to the SWZ. d) the final settlement of distribution fees will comply with the applicable DSO tariff, e) the Contracting Authority states that the purchasing group includes entities possessing photovoltaic installations. The unit rate per 1 kWh of electricity must take into account the receipt of energy generated by these installations under prosumer rules. The Contracting Authority reserves that the number of installations may change during the period covered by the contract. Appendix No. 1 to the SWZ (EE Appendix No. 1 Part 1) presents a list of PPE points to which photovoltaic installations reported before 31 March 2022 are connected and a list of PPE points to which installations reported after 31 March 2022 are connected. 1.1.4. The Contractor must have a concluded and valid agreement, the so-called General Distribution Agreement, with the DSO, on the basis of which it may sell electricity through that DSO's distribution network to all of the Contracting Authority's facilities indicated in Appendix No. 1 to the SWZ. The Contracting Authority notes that the role of DSO for the points indicated in Appendix No. 1 to the SWZ is performed by: ENERGA Operator S.A. 1.1.5. In order to calculate the tender price, the Contractor should take into account the energy consumption indicated in Appendix No. 1 to the SWZ (EE Appendix No. 1 Part 1). The Contracting Authority notes that, in order to avoid possible calculation errors when preparing the tender, it provides in the appendix “Price form for estimating the value of the contract for the supply of electricity” (Appendix No. 5) the data for calculating the contract value and the tender price. 1.1.6. At the Contracting Authority's request, no more frequently than once per quarter, the Contractor will send electronically, subject to the operating capabilities of the Contractor's billing system, in .xls file format (electronically), a package of billing data for each PPE covered by the contract. The detailed scope of the data is specified in Appendix No. 21 to the SWZ – “Report form template”, made available to Contractors as an electronic spreadsheet for download together with the procurement procedure documentation. Part 2 – Independent Public Healthcare Institutions. 1.2.1. The subject matter of the contract is the provision of a comprehensive supply of electricity and the provision of electricity distribution services for the facilities of the independent Public Healthcare Institutions included in Appendix No. 1 to the model contract during the period from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract). The detailed terms of the contract are set out in the model contract – Appendix No. 15 to the SWZ. 1.2. 2. The subject matter of the contract in Part 2 is the provision of a comprehensive supply of electricity, comprising the sale of electricity and the provision of electricity distribution services to the Contracting Authority's facilities listed in Appendix No. 1 to the model contract. The subject matter of the contract is the purchase of electricity for the needs of street lighting and the illumination of facilities during the period from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract), for the energy consumption points listed in Appendix No. 1 to the model contract. The contracts in question will not include electricity distribution services concluded with the DSO. The detailed terms of the contract are set out in the model contract – Appendix No. 16 to the SWZ. 1.3.2. Part 4 – Municipal Sports and Recreation Centre – TOR-TOR Ice Rink 1.4.1. The subject matter of the contract is the supply and purchase of electricity for the needs of the TOR-TOR Ice Rink from 1 January 2027 for 12 months (subject to the provisions of § 8(2) of the model contract), for the energy consumption points listed in Appendix No. 1 to the model contract. The contract in question does not include electricity distribution services. The detailed terms of the contract are set out in the model contract – Appendix No. 17 to the SWZ. 1.4.2. The quality parameters of electricity are defined by the Regulation of the Minister of Climate and Environment of 22 March 2023 on detailed conditions for the operation of the power system (Journal of Laws of 2025, item 919). 1.4.3. A detailed description of the subject matter of the contract, containing the locations and a description of the electricity delivery points together with the contracted capacity and estimated consumption, is contained in Appendix No. 4 to the SWZ. 1.4.4. The Contracting Authority states that a photovoltaic installation with a capacity of 240 kWp is installed at the Contracting Authority's facility listed in Appendix No. 1 to the contract. 1.4.5. In order to calculate the tender price, the Contractor should take into account the energy consumption indicated in Appendix No. 4 to the SWZ (EE Appendix No. 1 Part 4). The Contracting Authority notes that, in order to avoid possible calculation errors when preparing the tender, it provides in the appendix “Price form for estimating the value of the contract for the supply of electricity” (Appendix No. 8) the data for calculating the contract value and the tender price. 1.4.6. The Contractor will undertake to purchase the generated energy and provide commercial balancing services for the energy generated during the supply period from the PV installation for which the following have been specified in Appendix No. 4 to the SWZ: the generation capacity of this installation, the estimated annual quantity of energy generated, the estimated annual quantity of energy for resale and the amount of self-consumption. The Contracting Authority will conclude an agreement for the purchase of generated energy and the commercial balancing of electricity generated in the PV installation using the template applied by the Contractor, subject to the requirement to fulfil the conditions contained in Appendix No. 13 to the SWZ – Material provisions for the Agreement for the sale of electricity generated from a renewable energy source, which, in the event of a conflict between the provisions and the wording of the model agreements used by the Contractors, shall prevail. The Contracting Authority reserves the right to conclude analogous agreements after the tender regulating the receipt of energy from the Client for subsequent generation sources if such sources are put into operation during the supply period. The selected Contractor will provide the service of purchasing generated and unconsumed energy (fed into the distribution network), and will also provide the service of the Entity Responsible for Commercial Balancing for energy generated in RES installations. The purchased electricity will be settled according to the average selling price of electricity on the competitive market in the previous quarter announced by the President of the URE pursuant to Article 23(2)(18a) of the Act of 10 April 1997, Energy Law (consolidated text: Journal of Laws 2026, item 43), hereinafter “PE”.
