Opportunity description

1. The subject matter of the contract is the lease of one complete, technically operational robotic surgery system together with equipment and the provision of full maintenance services for a period of 24 months. 1.1. The robotic surgery system offered must meet the requirements set out in the applicable provisions of law and the technical, functional and quality requirements specified by the Contracting Authority. 1.2. A detailed description of the subject matter of the contract, including technical, functional and quality requirements, requirements concerning equipment, compatibility, documentation, training, maintenance and the remaining conditions for performance of the contract, is set out in Annex No. 2 to the SWZ – (OPZ). 1.3. The requirements concerning the manner of performance of the contract, in particular the rights and obligations of the Parties, the rules for performance of the agreement, acceptance of the subject matter of the contract, provision of maintenance services, exercise of the option right, payment terms, liability of the Parties and the remaining conditions for performance of the contract, are specified in the Draft Contractual Provisions constituting Annex No. 9 to the SWZ. These documents constitute an integral part of the SWZ. 2. The contract covers the lease of one robotic surgery system together with equipment and the provision of full maintenance services for a period of 24 months. The system offered, together with equipment, instruments and accessories, must enable the Contracting Authority to perform at least 580 robotic procedures during the contract performance period, in accordance with the requirements set out in the OPZ. The Contracting Authority reserves the right to: 1) complete the full scope of the contract before the expiry of the 24-month period; 2) limit the scope of the contract to the minimum guaranteed scope of performance under the rules set out in the Draft Contractual Provisions. 3. The Contracting Authority, acting pursuant to Article 441 of the Act of 11 September 2019 – Pzp, provides for the possibility of exercising an option right covering: 1) extension of the term of the Agreement by a further 12 months together with the provision of full maintenance services for the leased item; 2) purchase of the leased item. 3.1. Exercise of the option right is the exclusive entitlement of the Contracting Authority and depends on its needs, in particular demand for the leased item, financial capacity and the need to ensure continuity in the provision of healthcare services. 3.2. The Contracting Authority may exercise the option right in whole or in part, in particular by: 1) extending the term of the Agreement by a further 12 months; 2) purchasing the leased item after the end of the basic term of the Agreement; 3) extending the term of the Agreement by a further 12 months and subsequently purchasing the leased item after the end of the extended term of the Agreement. 3.3. The maximum scope of the option right covers: 1) extension of the term of the Agreement by a further 12 months; 2) purchase of the leased item after the end of the basic or extended term of the Agreement. 3.4. The Contracting Authority is not obliged to exercise the option right. Failure to exercise the option right in whole or in part shall not give rise to any claims on the part of the Contractor, in particular for extension of the term of the Agreement, purchase of the leased item, payment of remuneration, compensation or reimbursement of costs incurred. 3.5. Detailed rules for exercising the option right, including the manner and deadlines for submitting a declaration on exercising the option right and the conditions for extending the term of the Agreement and purchasing the leased item, are specified in the Draft Contractual Provisions. 3.6. The maximum value of the option right was taken into account when determining the contract value in accordance with Article 31(2) and Article 441 of the Act of 11 September 2019 – Public Procurement Law. 4. CPC category 1. 5. The Contracting Authority permits the submission of equivalent tenders. Equivalent solutions: 1) If the OPZ indicates proprietary names, manufacturers, device models or other designations identifying specific solutions, these shall be understood as indicating requirements concerning functionality, technical and quality parameters, usability or compatibility with the infrastructure owned by the Contracting Authority. 2) The Contracting Authority permits equivalent solutions to be offered, provided that they ensure compliance with all requirements set out in the OPZ, in particular with respect to technical, functional and quality parameters, usability and the required compatibility with the Contracting Authority’s devices and infrastructure. 3) If an equivalent solution is offered, the Contractor is obliged to demonstrate in its tender that the solution offered meets all requirements specified by the Contracting Authority in the OPZ. With regard to requirements for which the Contracting Authority requires the submission of subject-matter evidence, the Contractor is obliged to submit documents confirming compliance with those requirements. 6. CONTRACT PERFORMANCE DEADLINE: 1. The Contractor is obliged to deliver, install, commission and hand over the leased item for use within 10 days from the date of conclusion of the agreement. 2. As part of performance of the contract, the Contractor is obliged to carry out all activities necessary for the proper handover of the leased item for use, in particular its transport, carrying-in, assembly, installation and commissioning, taking into account the installation and technical conditions applicable at the place of use. 3. The leased item shall be handed over on the basis of a handover and acceptance report, after the Parties confirm that it has been delivered complete, free from defects and fit for use in accordance with its intended purpose, together with the required documents and instructions. 4. The detailed date for delivery, assembly and commissioning of the leased item shall be agreed with the Contracting Authority, taking into account the organization of its work, while observing the deadline specified in paragraph 1. 5. The period for the lease of the surgical robot together with the provision of full maintenance services is 24 months, calculated from the signing of the handover and acceptance report confirming that the leased item has been handed over for use.
