1. The subject matter of the contract is the supply of portable computers, hereinafter referred to as the “equipment”, together with accessories, for the organizational units of the University of Gdańsk, with an option right. 2. Common Procurement Vocabulary (CPV) classification code: 30213100-6 (portable computers), 30237200-1 (computer accessories). 3. The contract covers the supply of portable computers together with accessories in the quantities specified in the tender form – Appendix No. 1 to the SWZ. 4. The Contracting Authority may exercise the option right, consisting in increasing the quantity of equipment and accessories ordered under the basic contract, under the terms and in the manner described below: 1) The Contracting Authority provides for the possibility of placing an order with the Contractor under the option right within 14 days from the date of conclusion of the contract by submitting to the Contractor a written declaration of intent to exercise the option, specifying the quantity and type of equipment or accessory indicated by the Contractor in the tender form – Appendix No. 1 to the SWZ, 2) the value of the equipment and accessory ordered under the option right will be consistent with the unit prices indicated by the Contractor in the tender form – Appendix No. 1 to the SWZ, 3) deadline for performance of the contract covered by the option right: up to 60 days from the date on which the Contracting Authority places the order covered by the option right, in accordance with § 6(4) of the draft contract – Appendix No. 5 to the SWZ, 4) exercising the option right does not constitute an amendment to the contract; the Contractor shall have no claim against the Contracting Authority if the Contracting Authority does not exercise the option right – the decision to perform the contract covered by the option right is a unilateral right of the Contracting Authority, 5) the provisions of the draft contract – Appendix No. 5 to the SWZ concerning the basic contract apply to the contract covered by the option right, unless otherwise stipulated. 5. A detailed description of the subject matter of the contract is set out in Appendix No. 6 to the SWZ – description of the subject matter of the contract. 6. The equipment delivery locations are specified in Appendix No. 7 to the SWZ. 7. Details concerning the warranty are contained in § 7 of the draft contract – Appendix No. 5 to the SWZ. 8. In the description of the subject matter of the contract, constituting Appendix No. 6 to the SWZ, the Contracting Authority described the requirements concerning management systems relating to the production process of the offered equipment by reference to the standards indicated in item 5 point 2 of Table 1 of the description of the subject matter of the contract. In every case in which these standards have been indicated in the content of the SWZ, including in the appendices to the SWZ, it shall be understood that such indication is accompanied by the words “or equivalent”. Thus, the Contracting Authority permits solutions equivalent to the standards indicated in item 5 point 2 of Table 1 of the description of the subject matter of the contract, in accordance with Article 101(4) and (5) of the Pzp. Equivalence shall be understood to mean that the offered equipment originates from production covered by an implemented and current management system that meets, to an equivalent degree, the requirements specified in item 5 point 2 of Table 1 of the description of the subject matter of the contract. The equivalent solutions applied must correspond, in their type and scope, to the objectives served by the standards referred to in item 5 point 2 of Table 1 of the description of the subject matter of the contract. 9. Due to the fact that various equivalent proposals are permitted, the Contractor is required to verify and treat all solutions as interconnected. Demonstrating equivalence, i.e. meeting to an equivalent degree the requirements specified by the Contracting Authority in the description of the subject matter of the contract, is the responsibility of the Contractor. If equipment is offered that originates from production covered by a management system compliant with an equivalent standard or another solution equivalent to the standards indicated in item 5 point 2 of Table 1 of the description of the subject matter of the contract, the Contractor is obliged to indicate this solution in point 5 of the tender form, constituting Appendix No. 1 to the SWZ, provide information on the equivalent solution offered, justification of its equivalence, and evidence confirming the equivalence. The Contracting Authority will not reject the Contractor’s tender solely because the offered equipment does not originate from production covered by management systems compliant with the standards indicated in point 15 of the description of the subject matter of the contract, provided that the Contractor proves in the tender, in particular by means of the subject-matter evidence referred to in Articles 104–107 of the Pzp, that the proposed solutions meet, to an equivalent degree, the requirements specified by the Contracting Authority in item 5 point 2 of Table 1 of the description of the subject matter of the contract (Article 101(5) of the Pzp). 10. For information purposes, the Contracting Authority states that during the performance of the contract: 1) there will be an order that will be paid for from the funds of the HORIZON Research and Innovation Actions programme, project title “Migration, Affective Geopolitcs and European Democracy in Times of Military Conflicts”, contract number 101223372; task No. 528-I080-0773-24-ZE (logo placed in the header of the documentation); 2) there may be other orders that will be paid for from EU, foreign and national projects – the list of projects is contained in Appendix No. 8 to the SWZ. In the case of orders paid for from EU and foreign projects and national or other projects obtained by the Contracting Authority after the date of signing this contract, the requirement to fulfil promotional obligations rests with the organizational unit of the University of Gdańsk placing the order.
