The subject matter of the contract is municipal waste management – the collection and management of municipal waste from residential and non-residential properties in the Municipality of Namysłów. A detailed description of the subject matter of the contract is provided in Annex No. 3 to the SWZ. Reasons for not dividing the contract into lots: excessive technical difficulties, excessive contract performance costs (dividing the municipality into sectors is not justified, as this could result in higher unit prices), and difficulties in coordinating the activities of different Contractors performing individual parts of the contract, which could seriously jeopardize the proper performance of the contract. The Contractor is required to perform the contract in accordance with the rules and conditions described in the SWZ and the tender. The subject matter of the contract is municipal waste management – the collection and management of municipal waste from residential and non-residential properties in the Municipality of Namysłów. A detailed description of the subject matter of the contract is provided in Annex No. 3 to the SWZ. Option right: 1. The Contracting Authority informs that, in the performance of the subject matter of the contract, it provides for the possibility of exercising the option right pursuant to Article 441(1) of the Public Procurement Law, which will consist of: a) extending the contract performance period by a maximum of 3 months if a Contractor is not selected for the task entitled municipal waste management – collection and management of municipal waste from residential and non-residential properties in the Municipality of Namysłów for 2027, for reasons beyond the Contracting Authority's control, in particular where a legal remedy is lodged in accordance with the rules provided for in the Public Procurement Law; b) increasing, during the term of the contract, the estimated quantities of individual types of waste to be collected, transported and managed, and the mass of the types of waste actually transported, provided that this does not increase the contract value by more than 15% in relation to the value specified in § 6(1) of the contract. The value of the optional contract will in each case be determined by reference to the value in § 6(1) as at the date of conclusion of the contract, irrespective of changes and updates to that value during the term of the contract. 2. If the Contracting Authority exercises the option right, the Contractor shall be entitled to remuneration for the actual quantities of services performed under the concluded contract, constituting the sum of the products of the gross unit price for the collection, transport and management of individual types of waste and the mass of the types of waste actually transported. 3. The option right is described in the draft contract – Annex No. 2 to the SWZ. 4. The option right is a unilateral entitlement of the Contracting Authority, which it may, but is not obliged to, exercise as part of the performance of the subject matter of the contract. If the Contracting Authority does not exercise the option right, the Contractor shall not be entitled to any claims on this account. Activation of the option by the Contracting Authority results in an obligation on the part of the Contractor to perform it. 5. Where it is in the interest of the Contracting Authority and concerns its current needs, the Contracting Authority reserves the possibility of exercising the option right multiple times until the possibilities provided for under the option right have been exhausted. 6. In order to activate the option, the Contracting Authority shall provide the Contractor, in writing, with a declaration expressing its intention to exercise the option right, no later than 10 days before the planned completion of contract performance or no later than 40 days after completing the collection, transport and management of individual types of waste and the mass of the types of waste actually transported with a value constituting 95% of the contract value specified in § 6(1) of the contract. 7. The Contracting Authority's exercise of the option right does not require an annex to the contract to be drawn up.
