[numbering consistent with the SWZ] 4.1 The subject matter of the contract is the conclusion of a framework agreement for a brokerage service for the purchase of Microsoft software licenses under MPSA (Microsoft Products and Services Agreement) sales programs. 4.2 A detailed description of the subject matter of the contract is provided in Appendix No. 1 to the SWZ and in the material provisions of the agreement, Appendix 5 to the SWZ. 4.3 The Contracting Authority does not provide for the submission of variant or partial tenders. 6.CONTRACT PERFORMANCE PERIOD 6.1 Contract performance period: from the date of conclusion of the agreement for a period of 36 months. 6.2 The time limits for the performance of individual call-off contracts (delivery of Microsoft software licenses/subscriptions), the subject matter of which is covered by the framework agreement, shall be a maximum of 5 working days from the date on which the order is sent by the Contracting Authority. This time limit depends on the Contractor's tender and constitutes a tender evaluation criterion in the procedure for the conclusion of the framework agreement. 1.CONTRACTING AUTHORITY: City of Łódź – Łódź City Office ul. Pursuant to Article 257 of the Public Procurement Law, the Contracting Authority does not provide for the possibility of cancelling this procedure if the public funds that the Contracting Authority intended to allocate to finance all or part of the contract have not been awarded to it. 39. INFORMATION CLAUSE UNDER ARTICLES 13 AND 14 OF THE GDPR 39.1 Pursuant to Article 13(1) and (2) of the General Data Protection Regulation of 27 April 2016 (Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC), we kindly inform you that: 39.2 The controller of personal data is the Mayor of the City of Łódź, with its registered office in Łódź at ul. The data protection officer and their deputy may be contacted in all matters concerning the processing of personal data by the Łódź City Office and the exercise of rights related to data processing. 39.4 Provision of personal data is a necessary condition for participation in the public procurement procedure. The general legal basis for data processing is Article 6(1)(b), (c), and (e), and Article 10 of the General Regulation. 39.5 The specific purposes of data processing are indicated in the following provisions: a) the Act of 11 September 2019 – Public Procurement Law; b) the Act of 23 April 1964 – Civil Code; c) the Act of 27 August 2009 on Public Finance; d) the Act of 29 September 1994 on Accounting. 39.6 Your data will be processed for the purpose of: a) conducting the public procurement procedure and selecting a contractor; b) concluding an agreement; c) financial and accounting settlement; d) making available and updating in the Central Register of Agreements information on agreements concluded in written, documentary, electronic, or another special form as a result of a concluded public procurement procedure. 39.7 Personal data may be disclosed to other entities entitled to receive them under applicable provisions of law, i.e. pursuant to Article 18 and Article 74 of the Public Procurement Law, to experts possessing specialist knowledge if appointed, to the Minister of Finance as the authority operating and maintaining the Central Register of Agreements ICT system, and to any interested person due to universal, public, and free access via the website to data collected in the Central Register of Agreements, as well as to data recipients within the meaning of personal data protection provisions, i.e. entities providing postal, courier, IT, banking, and insurance services, persons and entities interested in the procedure being conducted, and entities using the Public Information Bulletin, Public Procurement Bulletin, and Competitiveness Database. Where the contract value is equal to or exceeds the EU thresholds, the data will be transmitted to the Publications Office of the European Union. 39.8 Furthermore, where the Łódź City Office acts as an entity performing the tasks of a central contracting authority, the data of the selected contractor will be transferred to the competent municipal organizational unit on whose behalf the procedure is conducted for the purpose of concluding and settling the agreement. 39.9 Personal data will not be transferred to third countries. 39.10 Personal data will be processed, including stored, for a period of 4 years, calculated from the first of January of the year following the year in which the case was closed, and subsequently, pursuant to the provisions of the Act of 14 July 1983 on the National Archival Resource and Archives, for a period of 5 years, in accordance with category B5, in the case of procedure documentation, and 10 years in connection with the concluded agreement, in accordance with archival category B10, and, if the archival category of the documentation is changed, for a period consistent with the changed archival category of the documentation. In the case of contracts financed from European funds or funds other than those originating from the European Union budget, pursuant to separate provisions in this regard, for up to 25 years. 39.11 Personal data will be stored in the CRU for a period of 5 years, calculated from the end of the year in which the agreement concluded with the controller ceased to be in force.
