1. The subject matter of the contract is acting as Contract Engineer for the implementation of the project entitled “Expansion of the Zielona Góra Road Traffic Control System together with the reconstruction of the necessary infrastructure as part of the project Improving the efficiency of public transport in Zielona Góra – Stage II”, implemented under the “design and build” formula. The scope of the contract includes comprehensive management, coordination and supervision of the design stage and the execution of construction works, monitoring the compliance of implementation with the contract, the Functional and Utility Program, the schedule and applicable regulations, participation in acceptance procedures, verification of settlements, and support for the Contracting Authority until the completion and settlement of the investment. 2. A detailed description of the subject matter of the contract is contained in Annex No. I.2 to the SWZ. 3. The Contractor shall provide a warranty for the completed subject matter of the contract for a period of at least 60 months from the date of signing the final acceptance and a statutory warranty for defects for a period exceeding the warranty by 3 months. 4. The Contracting Authority informs that, in this contract, pursuant to Art. 441(1) of the pzp Act, it anticipates exercising the option right. The type, maximum value and circumstances for exercising the option are specified in the detailed draft contract constituting Annex No. I.5 to the SWZ. 5. The Contracting Authority informs that any references in the SWZ and its annexes to customary names, trademarks, manufacturers’ names, and photographs in the included elements of the description of the subject matter of the contract serve solely to define visual, technical and quality characteristics. Product names, trademarks, patents or origin used in the SWZ and its annexes shall be treated as examples—the Contracting Authority permits the use of equivalent products (materials, equipment). An equivalent product is understood to mean a product that will have the same functional, visual, material and technical characteristics as the specific product indicated in the SWZ but is designated by a different trademark, patent or origin. The quality of an equivalent product may not be inferior to that described in the subject matter of the contract, may not lower the standard to any degree, and may not change the principles and technical solutions adopted in this SWZ, and thus may not deprive the User of any performance, functionality or usability described in or arising from the SWZ. A Contractor that adopts equivalent solutions (products) for the pricing of its tender is obliged to prove the equivalence of the adopted solutions, including equipment and materials. In order to confirm that the offered equivalent solution meets the requirements specified in the SWZ, the Contractor is obliged to submit together with the tender a detailed description/list of the offered equivalent subject matter of the contract, in which, for each solution, it specifies characteristics allowing the offered solution to be unambiguously identified and its compliance with the description of the subject matter of the contract to be confirmed. Note: Failure to submit such a description/list shall be tantamount to accepting the solutions indicated in the SWZ and the annexes to the SWZ. 6. The Contracting Authority informs that, where the description of the subject matter of the contract contained in the SWZ and its annexes refers to standards, technical assessments, technical specifications and technical reference systems, solutions equivalent to those described are permitted, understood as technical, operational and utility solutions that ensure compliance with the minimum requirements at a level no worse than that specified, respectively, in the aforementioned documents, making it possible to achieve the effect intended by the Contracting Authority by means of the technical solutions indicated in the SWZ and its annexes. Where the SWZ and its annexes refer to specific standards or other regulations to be met by materials, equipment, devices and other goods, as well as completed and tested works, the provisions of the latest edition or amended edition of the referenced standards or regulations shall apply, unless otherwise indicated in the procurement documents. 7. The information on parameters and functions contained in this SWZ and its annexes constitutes minimum data—the Contracting Authority permits products with enhanced functions and better parameters to be offered, provided that they meet the minimum requirements specified in this contract. 8. Pursuant to Art. 100(1) of the pzp Act, the Contracting Authority requires that the subject matter of the contract be implemented taking into account accessibility requirements for persons with disabilities and design intended for all users, in particular in accordance with the principles of universal design referred to in the Convention on the Rights of Persons with Disabilities of 13 December 2006 (Journal of Laws of 2012, item 1169, as amended). 9. The Contracting Authority requires that the persons designated by the Contractor who will participate in the performance of the contract and communicate with the Contracting Authority during the performance of the subject matter of the contract have a communicative command of Polish. If the aforementioned persons do not have a command of Polish, for the duration of the contract and for the purposes of performing the subject matter of the contract, the Contractor is obliged to provide an interpreter at its own expense and through its own efforts. 10. Pursuant to Art. 95 of the pzp Act, the Contracting Authority requires the Contractor or Subcontractor to employ, under an employment relationship, persons performing activities related to the performance of the contract consisting of: a) office activities; b) administrative activities; c) organisational activities, if the performance of these activities consists of performing work in the manner specified in Art. 22 § 1 of the Act of 26 June 1974, the Labour Code (Journal of Laws of 2023, item 1465), unless these activities are performed by those persons as part of their business activities. The Contractor or Subcontractor shall document employment through declarations concerning the employment of consultant personnel under employment contracts. Information on inspection powers and sanctions for failure to meet the aforementioned requirements is specified in the draft contract constituting Annex No. I.3 to the SWZ. 1.
