1. Subject matter of the contract: 1.1. The subject matter of the contract is the provision by the Contractor to the Agency for Restructuring and Modernisation of Agriculture (hereinafter referred to as the “Contracting Authority”) of the right to use the Software performing the XDR protection function specified in the draft contractual provisions (hereinafter: “ppu”), constituting Annex No. 8.1 to the SWZ, on a Subscription basis, including: 1.1.1. the right to use the Software in its current version, including all Software Updates, under the terms specified in the ppu and the general terms and conditions of the Software manufacturer. 1.1.2. the possibility of using Software support under the terms specified in the ppu and the general terms and conditions of the Software manufacturer. 1.2. The Subscription will be valid for a period of 36 months from the date indicated in the Certificate Acceptance Protocol referred to in § 4(1) of the ppu, but no earlier than from 30.09.2026 (the day following the expiry date of the software subscription acquired by the Contracting Authority under a separate agreement in force prior to the conclusion of the Agreement), while maintaining continuity of operation. 1.3. In order to confirm entitlement to use the Subscription, the Contractor will provide the Contracting Authority with a Certificate confirming the Contracting Authority’s right to use the Software and indicating the validity period of the Subscription, in accordance with the provisions of the ppu and the general licensing terms and conditions of the Software manufacturer. 2. The Contracting Authority permits Contractors to offer a solution equivalent to that indicated in point 1 above, meeting the following requirements. The Contractor: 2.1. will supply, configure and launch the Software and enable the Contracting Authority to use it, in accordance with the specification constituting Annex No. 1 to the draft contractual provisions (hereinafter: “ppu-r”), constituting Annex No. 8.2 to the SWZ, including: 2.1.1. will supply the Hardware required for the proper operation of the offered Software (in the case of virtualisation, it will also supply licenses for virtualisation, system and database software, if required by the manufacturer of the offered solution); 2.1.2. will carry out the Implementation on the hardware and application platform at the Contracting Authority’s Location in accordance with the terms of the ppu-r, including agreeing with the Contracting Authority on the Implementation Schedule, preparing and delivering the Technical Design, Acceptance Test Plan and Post-Implementation Documentation in electronic form; 2.1.3. will transfer (migrate) to the Software the data contained in the system used by the Contracting Authority up to the date of conclusion of the Agreement, including in particular: defined playbooks/workflows, integration configurations, defined resources (assets) and their groups and classifications, automation/task schedules, templates and reports, as well as user accounts together with roles and permissions; 2.1.4. will provide the Contracting Authority with the right to use the Subscription, including: 2.1.4.1. the right to use the Software in its current version, including all Software Updates, under the terms specified in the ppu-r and the general terms and conditions of the Software manufacturer; 2.1.4.2. the possibility of using Software support under the terms specified in the ppu-r and the general terms and conditions of the Software manufacturer; 2.1.5. will provide the Contracting Authority with a License entitling it to use the utility software referred to in § 1 point 14 letter b of the ppu-r. 2.1.6. insofar as required due to the hardware and application solution used, will provide the Contracting Authority with a License entitling it to use the database or virtualisation software referred to in § 1 point 14 letter c of the ppu-r, provided that where, in accordance with the manufacturer’s general rules, this type of software is available under the offered solution on a subscription basis, it will provide a Subscription within the meaning of the ppu-r; 2.1.7. will transfer to the Contracting Authority the author’s economic rights to the Documentation developed by the Contractor under the Agreement on the terms, including the fields of exploitation, specified in the ppu-r; 2.1.8. will provide implementation training for the Contracting Authority’s Software administrators, in accordance with the terms of the ppu-r; 2.1.9. will carry out the Implementation so that it does not affect the continuity of operation of the Contracting Authority’s information systems. 2.2. The Subscription will be valid for a period of 36 months from the date indicated in the Implementation Protocol referred to in § 4(10) of the ppu-r. 2.3. In order to confirm entitlement to use the Subscription, the Contractor, no later than the Implementation deadline specified in § 4(1) of the ppu-r, will provide the Contracting Authority with a Certificate confirming the Contracting Authority’s right to use the Software and indicating the validity period of the Subscription, in accordance with the provisions of the ppu-r and the general licensing terms and conditions of the Software manufacturer. 3. The Contracting Authority requires that the subject matter of the contract be performed under the terms and rules specified in the ppu together with the annexes constituting Annex No. 8.1 to the SWZ and, if an equivalent solution is offered, under the terms and rules specified in the ppu-r together with the annexes constituting Annex No. 8.2 to the SWZ.
