The procurement of Rapid-breaking bituminous emulsion EBCR 60 with transport included - Production Section - 2-year framework agreement is sought for use in carrying out routine and periodic maintenance works on the carriageway in-house by the contracting authority. Estimated value of the framework agreement: • The maximum value of the framework agreement is 6,932,500.00 lei excluding VAT; • The minimum value of the framework agreement is 206,500.00 lei excluding VAT. The estimated value of the largest subsequent contract: is 221,250.00 lei excluding VAT. The minimum and maximum quantities of the framework agreements and subsequent contracts are in accordance with the Lists of quantities attached to the Specifications. Min. 2 subsequent contracts will be concluded in the first year and min. 3 subsequent contracts in year 2 for each individual lot. This framework agreement does not represent the legal basis for committing public funds. On the basis of this framework agreement, subsequent contracts that constitute the legal basis for payment will be awarded. The contracting authority reserves the right to modify the contract pursuant to art. 221 of Law 98/2016, provided that these modifications do not fall under the provisions of art. 221 para. 7 of Law 98/2016, i.e. they do not represent a substantial modification. Review clauses pursuant to art. 221 para. (1) letter a) of Law no. 98/2016, which anticipate any modifications that may occur during the performance of the contract, are as follows: 1). Parties to the contract - in terms of changing the name, status, shareholding, company form, which do not entail the creation of a new legal entity, or changing the registered office; - regarding the possibility of replacing the initial contractor 2) Duration of the subsequent contract - extension of the duration of the subsequent contract is possible under the conditions of art. 221 letter e of Law no. 98/2016 for reasons extrinsic to the fault of the Promisor - Supplier, etc., and may be carried out, on the basis of a written request from the interested party accompanied by supporting documents, through an Addendum signed by both contracting parties; 3) Unit price of the services - the contract price may be adjusted by updating it if legislative changes take place or administrative acts have been issued by the local authorities concerning the establishment, modification or abandonment of certain local fees/taxes whose effect is reflected in the increase/decrease of the costs on which the prices offered were based, and in other situations provided for by law. 4). Subcontractors.Third parties - the introduction/change of subcontractors/the expression of their opinions regarding being paid directly by the Purchaser may be implemented with a view to better management/performance of the contract; 5). Methods of payment and recovery of claims - in the event of any changes to financial and tax legislation; 6). Inspections/testing/verifications - any additional requests for documents that may arise from the two contracting parties; A. In accordance with the provisions of art. 160 para. (1) of Law no. 98/2016, as subsequently amended and supplemented, the deadline by which any economic operator interested in participating in the public procurement procedure has the right to request clarifications or additional information in connection with the procurement documentation is 18 days before the deadline for submission of tenders. B. In accordance with the provisions of art. 160 para. (2) of Law 98/2016, as subsequently amended and supplemented, the Contracting Authority establishes a single deadline by which it will respond clearly and completely to all requests for clarification/additional information, on the 11th day before the deadline established for the submission of tenders. *Any request for clarification submitted after the date mentioned in point A) will be considered late. Min. qty. 50 t, max. qty. 75 t. Frequency of subsequent contracts: min. 2 contracts/year. Procedure: open. Estimated value: 6,932,500 RON.
