Any request for clarification must be submitted through SEAP (http://www.e-licitatie.ro/pub). Any interested economic operator has the right to request clarifications/additional information concerning the procurement documentation 22 days before the deadline established for the submission of tenders. The contracting entity will respond clearly and completely to all requests for clarification/additional information concerning the procurement documentation on the 12th day before the deadline for the submission of tenders. The contracting entity will not respond to requests for clarification submitted after the established deadline. The activity of the Contractor/Supervisor is to supervise, in the capacity of “Supervisor,” the design and execution of works, as well as during the warranty period for the works, in order to monitor the proper use of the available funds and to ensure that the Contractor designs and executes the works in accordance with the contractual obligations, particularly with regard to the duration, quantity, quality, and cost of the design and works, in accordance with the provisions of Government Decision No. 1/2018 approving the general and specific conditions for certain categories of procurement contracts relating to investment objectives financed from public funds. The Contractor/Supervisor will ensure that the Technical Design is prepared in accordance with the legal regulations in force, complying with all stages of Government Decision No. 907/2016 concerning the preparation stages and framework content of the technical-economic documentation relating to investment objectives/projects financed from public funds, as subsequently amended. Within the consulting and supervision services for the design and execution of works related to the investment objective “Implementation of the measures necessary for the operation of the ERTMS system on the Predeal – Bucharest – Constanța railway section and extension of the GSM-R system on the primary rail transport network – LOT 1 - Civil construction works for the Operational Control Center – CNMT Bucharest,” the Contractor will carry out coordination, consulting, and supervision activities. SUSPENSIVE CLAUSE: The procurement procedure is conducted subject to these suspensive clauses. - The conclusion of the sectoral procurement contract is conditional upon obtaining/approving financing for the works from state budget funds and/or non-reimbursable European funds, with the contract being signed only if the provisions concerning the commitment of expenditures from budgets falling under public finance legislation are observed. If, regardless of the reasons, the financing of the works from state budget funds and/or non-reimbursable European funds is not obtained/approved, the Contracting Entity will apply the provisions of Article 225(1)(c), second sentence, of Law 99/2016, as subsequently amended and supplemented, making it impossible to conclude the sectoral procurement contract. The Contractor’s activity is that of Consulting and Supervision, in the capacity of “Consultant”/“Supervisor,” of the Design and Execution of the works in accordance with Government Decision No. 1/2018 approving the general and specific conditions for certain categories of procurement contracts relating to investment objectives financed from public funds. In carrying out its activity, the Consultant will perform the role of Supervisor and must mainly carry out the following activities: • Familiarization with the design documents underlying the works contract, as well as with the construction site; • Management of the written parts, drawings of the technical design, and execution details delivered to the Contractor; • Verification of the design documents for all categories of works included in the project; • Verification and approval of all documents supplementing or modifying the project: • Management of complaints, claims, and dispute-resolution procedures established through the works contracts, including issuing notices of complaints and claims on behalf of the Contracting Entity whenever the relevant conditions are met; • Cost control, including in relation to the items in the general cost estimate that formed the basis for the approval, by Government Decision, of the investment’s technical-economic indicators; anticipating and notifying the Contracting Entity of risks of cost overruns, including at the level of individual items in the general cost estimate for the works; • Fulfillment of the specific conditionalities in the Financing Contract; • Monitoring the works schedule, highlighting risks that may affect the duration and/or costs of the works, and taking/proposing measures to counteract them; • Analyzing situations in which delays arise in the works execution schedule and proposing/taking measures to recover the delays; • Ensuring quality in accordance with relevant Romanian legislation (construction legislation and legislation concerning acceptance upon completion of the works and final acceptance); • Continuous on-site supervision and quality control in accordance with the legislation in force; Continuous verification of how the General Contractor for the works ensures coordination on the construction site, reporting any issues arising in this regard, and contributing solutions to resolve these issues whenever necessary; • Participation in the project’s determining stages, installation, testing, and evaluation, as well as in acceptance upon completion of the works and final acceptance, issuing opinions in each of these cases; • Verification of the construction technical book, in accordance with the relevant Romanian legislation in force, based on the constituent documents supplied by the Contractor and those for which the Supervisor is responsible, and delivery thereof to the Contracting Entity; • Representation of the Contracting Entity with regard to occupational health and safety, in accordance with Romanian legislation in force (the Supervisor will act as the Contracting Entity’s representative in this matter); • Monitoring and reporting: Monthly progress reports, as well as those stipulated in the financing contract to be signed with the European Commission, and any other reports that may be requested by the project’s funders and/or the relevant Romanian authorities and the Contracting Entity; • If the works contract is terminated before the completion of the respective works, the Supervisor will be responsible for carrying out an expert assessment (technical, financial, quantitative, and qualitative) of all works performed (by type of activity), as well as of the works remaining to be performed; • If the supervision contract begins after the design and works execution contract has been signed, the Supervisor will provide assistance for the works carried out within the supervised project. The following results are expected from the performance of this contract, without being limited thereto: • Supervision of the quantity and quality of the design and execution works; • Proper administration of the design and execution works contract, including advising the Beneficiary on contractual matters; • Appropriate financial control and recording of the progress of the works; • Assisting the Beneficiary CNCF “CFR” S.A. with the timely planning of funds; • Assisting the Beneficiary CNCF “CFR” S.A. with project management; • Monitoring, evaluating, and, where appropriate, guiding the Contractor’s activity with a view to preparing quality designs and executing works of the quality and quantity specified in the technical design, within the established deadlines and allocated budget; • Ensuring quality and safety procedures; • Preparing and submitting all reports in accordance with contractual requirements; • Issuing Interim and Final Payment Certificates; • Issuing Modifications following their prior approval by the Contracting Entity; • Organizing progress meetings with the Contractor and the Beneficiary; • Completing the Technical Book and delivering it to the Beneficiary; • Completing all activities relating to the final acceptance of the supervised works contract.
