Framework agreement having as its subject: LIGHTING ASSEMBLY TO INCREASE ROAD SAFETY ON DANGEROUS SECTIONS: The supply, transport and installation of lighting assemblies on dangerous road sections, for the nighttime marking of features such as roundabouts, traffic-calming islands, pedestrian crossings, bridge ends, traffic-direction separators, etc., as well as for marking disaster-affected areas (landslides, boulders on the road, damaged bridges, subsidence of the roadway, etc.). In accordance with the provisions of Article 160(1) of Law No. 98/2016, as subsequently amended and supplemented, the deadline by which any economic operator interested in participating in the public procurement procedure has the right to request clarifications or additional information concerning the procurement documentation is 18 days before the deadline for submission of tenders. In accordance with the provisions of Article 160(2) of Law 98/2016, as subsequently amended and supplemented, the Contracting Authority establishes a single deadline by which it will respond to all requests for clarification/additional information, 11 days before the deadline for submission of tenders. The deadline for responding to clarifications was established so that economic operators would have an adequate period to analyze the procurement documentation and, subsequently, to prepare tenders in light of the responses provided by the Contracting Authority. The description of the products is available in the Specifications. Attached to the procurement documentation are all the documents necessary for preparing the tender. The estimated minimum and maximum quantities for the duration of the framework agreement, as well as for each subsequent contract (year I, year II, year III, year IV), are in accordance with Annex 1 to the Specifications. The estimated value of the largest subsequent contract anticipated to be awarded during the framework agreement: 13.174.616 lei excluding VAT. The contracting authority estimates that, under the framework agreement, at least 8 subsequent contracts will be concluded, with a frequency of at least 2 subsequent contracts per year. Pursuant to Article 221 of Law No. 98/2016 and in compliance with the provisions of the Supply Contract, any amendments that may occur during the contract performance period concern the following, without being limited thereto: In accordance with the contractual provisions, any amendments that may occur during the performance period of the framework agreement/subsequent contract concern the following, without being limited thereto: I. Parties to the Framework Agreement/Subsequent Contract: 1) regarding a change of name or company form that does not result in the creation of a new legal person; 2) when the Promising Supplier is replaced by a new Promising Supplier, where the rights and obligations of the original Promising Supplier arising from the Framework Agreement are assumed, following universal succession or succession by universal title within a reorganization process, including through merger, division, acquisition or insolvency, by another economic operator that meets the qualification and selection criteria initially established, provided that this amendment does not entail other substantial amendments to the public procurement contract and is not made for the purpose of circumventing the application of the award procedures provided for by Public Procurement Law No. 98/2016; II. Duration of the final subsequent contract – extension of the duration of the final subsequent contract, without additional costs for the Contracting Authority and without reducing the warranty period for products already supplied and accepted, if the deadlines established for delivery of the product/products cannot be met by the Supplier, without prejudice to the Contracting Authority’s right to apply late-payment penalties. The duration of the final subsequent contract may exceed the validity period of the Framework Agreement; III. Duration of the contract or product supply period – extension of the product supply period if the deadlines established for delivery of the product/products cannot be met by the Supplier, without prejudice to the Contracting Authority’s right to apply late-payment penalties. The Parties will sign an addendum only if the Contract Duration established in Article 5.1 of the contract is also extended. If the Contract Duration is not extended, the Contracting Authority may issue Administrative Orders to extend the product supply period established in the order. IV. Payment methods and recovery of claims from the Contractor – in the event of any legislative amendments; V. Inspection and acceptance – any additional requests for documents that may arise from the two contracting parties. These amendments/additions will be made by the contracting authority through Administrative Orders. VI. Subcontractors – in the event of any changes to subcontractors during Contract performance and/or the introduction of subcontractors and/or if they express the option to be paid directly by the Contracting Authority. VII. Legislative amendments and/or amendments to technical rules and/or regulations and/or standards and/or STAS standards during performance of the subsequent contract: in the event of any amendments to legislation/regulations/standards/technical rules/STAS standards, in accordance with the imposed provisions. Any amendment to the public procurement Framework Agreement/Subsequent Contract during its validity period other than in the cases and under the conditions provided for in Article 221 of Law No. 98/2016, as subsequently amended and supplemented, shall be made by organizing a new award procedure, in accordance with the provisions of Law No. 98/2016, as subsequently amended and supplemented. Amendments will be made after signing the Framework Agreement/Subsequent Contract, in accordance with the contractual provisions, only if they do not constitute substantial amendments within the meaning of Article 221(7) of Law No. 98/2016.
